More Definitions of Extraordinary Action

Extraordinary ActionÌýmeans (i) any relocation, discontinuation or termination of a material portion of the operations of Margate or any of its subsidiaries, or (ii) any capital expenditure in an amount exceeding $600,000 which is incurred in order to comply with a requirement of law or an order of a governmental authority, or (iii) any deferral or restructuring of payments due from New Haven Foundry Inc. in an amount exceeding $500,000 if, in the good faith judgment of Margate's Board of Directors, the failure to defer or restructure such payment would have a Material Adverse Effect.
