Access and Use of the Services.Ìý2.1. Our Provision of the Services. We will make our proprietary, hosted, customer relationship management WPCRMTM software (the “Servicesâ€�) available to you pursuant to the terms of the Agreement and the Documentation. We will use commercially reasonable efforts to make the Services available 24x7. You acknowledge that your use of the Services requires third-party hardware, software, internet and/or telecommunications access (which may involve extra charges), and that your ability to access and use the Services may be affected by your choices and the performance of these products and services.
Access and Use of the Services.Ìý2.1 The Bank has agreed to provide the Customer use of the Services and access to mashreqMATRIX in accordance with the terms and conditions of this Agreement, the Bank’s internal policies and in accordance with the Law.
2.2 The Services provided by the Bank under this Agreement shall consist of:
a) Financial Services: services which include Instructions given via mashreqMATRIX or changes advised which, if accepted by the Bank, have or may have an impact on the operation and/or balances of the Accounts; and/or
b) Non-Financial Services: services which include making enquiries, initiating requests to download statements and other activities not covered by Financial Services.
2.3 Access to and continued use of the Services shall be granted:
(a) only through the Bank’s website,
(b) shall be permitted after completion of the Services Level Start-Up Form,
(c) to each Account of the Customer that is specified in the Service Level Start-Up Form and/or in the Account Addition Form, and
(d) upon compliance, to the satisfaction of the Bank, of all security procedures by the Customer and the Users as may be specified by the Bank from time to time.
2.4 Service Level Start-Up Form:
2.4.1 The Customer is required to complete and submit the Service Level Start-Up Form simultaneously with the execution of this Agreement specifying the service level requirements of the Customer with respect to the Service.
2.4.2 The Customer hereby authorises the Bank to set up mashreqMATRIX for it relying on the information specified in the Service Start-Up Form submitted to the Bank.
2.4.3 Each time there is a change with respect to any information specified in the Service Level Start-Up Form or in any service level requirement of the Customer, the Customer shall, immediately, submit a new Service Level Start-Up Form duly completed and executed specifying the new service level requirements or the new information of the Customer. Each such completed Service Level Start-Up Form shall be submitted to the Bank as per the details given in clause 12.5 (Notices).
2.4.4 Any change to mashreqMatrix pursuant to a newly submitted Service Level Start-Up Form shall be effected by the Bank within five (5) Business Days of receipt of such form.

C. CSP will employ the use of third party services for the purpose of facilitating Services use. By submitting ±«²õ±ð°ù’s information, User grants CSP the right to provide the information to these third parties subject to CSP’s Privacy Policy. CSP reserves the right to refuse or cancel ±«²õ±ð°ù’s access to the Services at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in ±«²õ±ð°ù’s order, error in ±«²õ±ð°ù’s information, or other reasons. Access and Use of the ServicesÌýa) During the Order Term, and solely to the extent specified in the applicable Order Form, Acalvio grants to Customer a non-exclusive, non-transferable, non-sublicensable, non-assignable (except as otherwise permitted pursuant to Section 24(f)), worldwide right to (a) access and utilize the ShadowPlex Cloud Services, and/or (b) license to use and copy (in object code only) the ShadowPlex Software Services for Customer’s internal use in connection with its ordinary business operations, in accordance with the terms of this Agreement and applicable Order Form.
b) To the extent any Hardware is supplied by Acalvio as part of the Services, such Hardware is licensed, not sold, to Customer for Customer's internal use only during the Order Term. Upon termination or expiration of any applicable Order, Customer shall return the Hardware to Acalvio in the same condition as received, reasonable wear and tear excepted. Customer shall bear the cost of returning the Hardware, including any necessary insurance to cover potential damage or loss during transit. Failure to return the Hardware in accordance with this provision shall entitle Acalvio to charge Customer for the then-current market value of the Hardware, in addition to any other rights or remedies available to Acalvio under this Agreement or at law.
c) Notwithstanding any language in this Agreement that may suggest otherwise, it is expressly understood and agreed that any reference to the terms "purchase," "sold," or any similar terms shall not imply or confer any transfer of ownership rights in any Services or Hardware provided under this Agreement. All Services and Hardware made available to Customer under this Agreement are provided solely on a license basis.
