The Administrative Agent shall be satisfied that prior to or substantially concurrent with the effectiveness of this Agreement, all indebtedness, liabilities and other obligations under or in connection with the Existing Term Loan Agreement (including without limitation all unpaid principal, interest, fees, expenses and other amounts owing thereunder or in connection therewith) has been repaid in full and the Existing Term Loan Agreement has been terminated.
