Release of Claims definition

Release of ClaimsÌýmeans the Release of Claims in substantially the same form attached hereto as Exhibit B (as the same may be revised from time to time by the Company upon the advice of counsel).

Release of ClaimsÌýmeans a waiver by the Executive, in a form satisfactory to the Company, of all employment-related obligations of and claims and causes of action against the Company.

Release of ClaimsÌýmeans a general release of claims in favor of the Company Group delivered to Executive in connection with ·¡³æ±ð³¦³Ü³Ù¾±±¹±ðâ€™s termination of employment substantially in the form attached as Exhibit B hereto.

If the Release of Claims does not become effective by the Release Agreement Deadline, the Executive will forfeit any right to severance benefits or Retirement Benefits pursuant to this Agreement.
Except to the minimum extent that payments must be delayed pursuant to Section 20(c) because Executive is a â€œspecified employeeâ€� or until the effectiveness (or deemed effectiveness) of the Release of Claims, all amounts will be paid as soon as practicable in accordance with the Companyâ€™s normal payroll practices following ·¡³æ±ð³¦³Ü³Ù¾±±¹±ðâ€™s Separation from Service.
Regardless of whether the Release of Claims becomes effective prior to the Release Agreement Deadline, any severance benefits or Retirement Benefits payable prior to the Release Agreement Deadline shall be paid on the Release Agreement Deadline, with the remainder of the payments to be made as originally scheduled.
Notwithstanding the foregoing, the Release of Claims shall not be construed to waive any right to indemnification or contribution otherwise available to Executive under law or rules of corporate governance with respect to claims by third parties for actions or omissions in ·¡³æ±ð³¦³Ü³Ù¾±±¹±ðâ€™s role as an officer of the Company.
The Release of Claims is a material term of this Settlement Agreement.

Release of ClaimsÌýmeans a separation agreement in a form acceptable to the Company under which Employee releases the Company from any and all claims and causes of action and the execution of which is a condition precedent to Employeeâ€™s eligibility for Severance Benefits in the event his employment is terminated by the Company without Cause or by Employee for Good Reason, as described in Sections 7(d) and 7(e).

Release of ClaimsÌýmeans a waiver by you of all employment-related obligations of the Company and all claims and causes of action against the Company.

Release of ClaimsÌýmeans the release of claims required by Section 14 of this Agreement.

Release of ClaimsÌýmeans a waiver by the Employee, in a form satisfactory to the Company, of all employment-related obligations of and claims and causes of action against the Company, and a non-disparagement agreement by the Employee in a form satisfactory to the Company. Whenever in this Agreement a payment or benefit is conditioned on Employeeâ€™s execution of a Release of Claims, such Release of Claims must be executed, and all applicable revocation periods shall have expired, within sixty (60) days after the date of termination, failing which such payment or benefit shall be forfeited. If such payment or benefit constitutes non-exempt â€�deferred compensationâ€� for purposes of Section 409A of the Code, and if such 60-day period begins in one calendar year and ends in the next calendar year, the payment or benefit shall not be made or commence before the second such calendar year, even if the Release of Claims becomes irrevocable in the first such calendar year.

Release of ClaimsÌýmeans a general release of all claims against the Company and its affiliates in a form reasonably acceptable to the Company.

Release of ClaimsÌýmeans the agreement that an Eligible Employee must execute in order to become a Participant and to receive Separation Plan Benefits, which shall be prepared by the Employer or the Parent and shall contain such terms and conditions as determined by the Employer or the Parent, including but not limited to a general release of claims, known or unknown, that the Eligible Employee may have against the Employer (and the Parent and any of its subsidiaries and/or affiliates), including claims related to the employment and termination of employment of the Eligible Employee; such Release of Claims may also contain, in the Employerâ€™s or the Parent's discretion, other terms and conditions including, without limitation, cooperation in litigation, non-disclosure, confidentiality, non-disparagement, non-solicitation and/or non-competition provisions.
