It is Funding Trust II's intention to convey its entire rights, title and interest in the Receivables Assets or other assets related thereto acquired from National Financial Auto Receivables Master Trust pursuant to the Assignment Agreement.
None of the Receivables Assets is subject to any Lien other than Permitted Liens.
The sale and purchase of Receivables and the other Receivables Assets under this Agreement shall be without recourse to Funding Trust II.
Notwithstanding the foregoing conditions precedent, upon payment of the Purchase Price for any Receivable (whether by payment of cash, through an increase in the amounts outstanding under a Subordinated Note, by offset of amounts owed to the Buyer and/or by offset of capital contributions), title to such Receivable and the other related Receivables Assets shall vest in the Buyer, whether or not the conditions precedent to the Buyer’s obligation to pay for such Receivable were in fact satisfied.
If Seller does purchase such Rights to MSRs for such Group, Seller will also be required to purchase the related Transferred Receivables Assets for a price equal to the outstanding balance thereof.
