Performance Option definition

Performance OptionÌýmeans an Incentive Stock Option or Nonqualified Stock Option, the grant of which or the exercisability of all or a portion of which is contingent upon the attainment of specified Performance Measures within a specified Performance Period.

Performance OptionÌýmeans the right and option to purchase, on the terms and conditions set forth herein, all or any part of an aggregate of the number of shares of Common Stock set forth on the signature page hereof opposite the term Performance Option.

Performance OptionÌýmeans an Option with respect to which the commencement of exercisability is governed by Section 3.1(b) hereof.

The Committee may, in its discretion, determine that an option is to be granted as a Performance Option and may establish an applicable Performance Period and Performance Measures which shall be satisfied or met as a condition to the grant of such option or to the exercisability of all or a portion of such option.
The Option shall consist of a Time Option and a Performance Option.
For good and valuable consideration, on and as of the date hereof the Company irrevocably grants to the Optionee the following Stock Options: (a) the Time Option and (b) the Performance Option, in each case on the terms and conditions set forth in this Agreement.
The Performance Option shall be eligible to become vested and exercisable as to 20% of the Shares subject to such Option at the end of each of the five Fiscal Years if the Company, on a consolidated basis, achieves its annual EBITDA targets as set forth in Schedule A attached hereto (each an â€œEBITDA Targetâ€�) for the given Fiscal Year.
For good and valuable consideration, on and as of the date hereof the Company irrevocably grants to the Optionee a Time Option and/or a Performance Option to purchase any part or all of an aggregate of the number of shares set forth with respect to each such Option on the signature page hereof of its Common Stock upon the terms and conditions set forth in this Agreement.

Performance OptionÌýmeans any Option that is granted to a Participant and is designated as a Performance Option pursuant to Section 6(a)(v).

Performance OptionÌýmeans the performance options made available from time to time for selection by Participants to measure the return (positive or negative) to be attributed to Deferred Amounts.

Performance OptionÌýmeans the performance option(s) designated by the Plan Administrator (from time to time in its sole discretion) to measure the Return to be credited (or debited) to a Participantâ€™s Account Balance; provided, that the Plan Administrator may change or amend such designated performance option(s) at any time in its sole discretion.

Performance OptionÌýmeans an Option granted under the Plan which becomes exercisable, or for which the period of exercisability is accelerated, upon the satisfaction of certain performance criteria established by the Committee and set forth in the Award Agreement evidencing such option.

Performance OptionÌýmeans an Option the exercise of which is normally subject to attainment of a Performance Target;

Performance OptionÌýmeans that portion of the Option granted to the Optionee hereunder that becomes vested and exercisable pursuant to Section 3.1(b) of this Award.
