  • As of the execution of this Settlement Agreement, BAC HLS has delivered to the Trustee the side-letter attached hereto as Exhibit C and BAC has delivered to the Trustee the guaranty attached thereto with respect to BAC HLS’s obligations to indemnify the Trustee to the extent specified in the side-letter and in the Governing Agreements.
