Opinion of Counsel to Borrower.ÌýAdministrative Agent shall have received a favorable opinion of counsel for the applicable Borrower, in form and substance satisfactory to Administrative Agent and addressed to Administrative Agent, with respect to the subject Borrower Guaranty, covering such matters relating thereto as reasonably requested by Administrative Agent, and in a form reasonably acceptable to Administrative Agent. Such Borrower hereby direct such counsel to prepare and deliver such legal opinion to Administrative Agent for the benefit of the Secured Parties;

Opinion of Counsel to Borrower.ÌýThe Administrative Agent shall have received an opinion of Xxxxx & Case LLP, counsel to the Borrower, addressed to the Administrative Agent and the Lenders and dated the Closing Date, in form and substance satisfactory to the Administrative Agent (and the Borrower hereby instructs such counsel to deliver such opinion to such Persons).

Opinion of Counsel to Borrower.ÌýThe Agent shall have received (i) an opinion of Xxxxxx Xxxx Xxxxxxxxx US LLP, counsel to the Loan Parties, as it pertains to matters of New York and Delaware law, (ii) an opinion of Xxxx Xxxxx Xxxxxxxx & Xxxx LLP, counsel to the Borrower and its Subsidiaries as it pertains to Pennsylvania law, and (iii) Norton Xxxx Xxxxxxxxx Canada LLP, counsel to the Canadian Parent as it pertains to matters of Ontario law, in each case, addressed to the Agent and the Lenders and dated the Closing Date, in form and substance satisfactory to the Agent (and the Borrower hereby instructs such counsel to deliver such opinion to such Persons).

Opinion of Counsel to Borrower.ÌýAn opinion of counsel to Borrower substantially in the form of Exhibit B attached hereto.

Opinion of Counsel to Borrower.ÌýA favorable written opinion (addressed to Administrative Agent, L/C Issuer, the Swingline Lender, and the Lenders and dated the Effective Date) of counsel for the Credit Parties, covering such matters relating to the Credit Parties, this Agreement or the Transactions as Administrative Agent and/or the Required Lenders shall reasonably request (and each of the Credit Parties hereby instructs such counsel to deliver such opinion to the Lenders and Administrative Agent).

Opinion of Counsel to Borrower.ÌýThe Lender shall have received an enforceability opinion of Clifford Chance US LLP, counsel to the Borrower, addressed to the Lender and dated the Closing Date, in form and substance satisfactory to the Lender (and the Borrower hereby instructs such counsel to deliver such opinion to the Lender).

Opinion of Counsel to Borrower.ÌýAn opinion of counsel to Borrower to such effect as Lender may require; and

Opinion of Counsel to Borrower.ÌýOpinion of legal counsel for Borrower in the form of Exhibit F.

Opinion of Counsel to Borrower.ÌýThe Lender shall have received an opinion of Xxxxxx and Xxxxxxx LLP, counsel to the Borrower, addressed to the Lender and dated the Closing Date, in form and substance reasonably satisfactory to the Lender (and the Borrower hereby instructs such counsel to deliver such opinion to such Persons).

Opinion of Counsel to Borrower.ÌýThe Agent shall have received an opinion of outside counsel to the Borrower, addressed to the Agent, the Lenders and the Issuing Banks and dated the Closing Date, in form and substance satisfactory to the Agent (and the Borrower hereby instructs such counsel to deliver such opinion to such Persons).
