Employment by Company.ÌýCompany, for itself and its subsidiaries and affiliates, employs Executive for the term of this Agreement to render full time services as Company's Executive Vice President - Operations and in such other capacities as the Board of Directors of Company ("Board") may assign and, in connection therewith, to perform such duties as are reasonably consistent with Executive's position and as the Board shall direct. Executive agrees to perform such duties as are reasonably consistent with the duties normally pertaining to the office to which Executive has been elected or appointed, subject always to the direction of the Board. Subject to Section 5.01 hereof, Executive's expenditure of reasonable amounts of time for personal business, charitable or professional activities will not be deemed a breach of Executive's undertaking to provide full time services hereunder, provided that such activities do not interfere materially with Executive's rendering of such services.

Employment by Company.Ìý(i) The Company hereby employs the Employee, and the Employee hereby agrees to be employed by the Company, as an employee of the Company to manage the Signature Business and/or perform other services related to the Signature Business, which are reasonably requested by the Chief Executive Officer of the Company (or his designee). During the Employee’s employment with the Company, the Employee shall report to the Chief Employee Officer of the Company, or his designee. The Employee agrees to abide by the rules, regulations, instructions, personnel practices and other policies of the Company as may be adopted from time to time. (ii) The Employee shall do and perform all services and acts necessary or advisable in the opinion of the Chief Executive Officer of the Company (or his designee) to fulfill his duties and responsibilities as are commensurate and consistent with the Employee’s position and such other services as reasonably requested from time to time (collectively, the “Servicesâ€�). The Employee agrees to devote, with undivided loyalty, all of Employee’s working time, attention and efforts to the Company; provided that, the Employee shall be permitted to engage in such limited and non-competitive outside business activities that do not interfere with the performance of his duties hereunder only as may be expressly approved in writing by the Company in advance and in accordance with the business and ethical standards of the Company adopted from time to time; provided further that, subject to the Non-compete Obligations set forth herein, real estate investment activity and the management of other investments that are primarily passive in nature that are owned from time to time by Employee that do not interfere with the performance of his duties hereunder are hereby expressly permitted by the Company. The Employee’s principal place of employment shall be the Company’s offices located in the state of Maryland.

Employment by Company.ÌýThe Company hereby engages Executive, and Executive hereby agrees to service as Chief Financial Officer of the Company on the terms and conditions of this Agreement. Throughout the Term of this Agreement Executive shall, subject to the provisions contained herein, devote substantially all of his work time to the employment described hereunder.

Employment by Company.ÌýSubject to the terms and conditions hereinafter set forth, Company hereby agrees to employ the Executive, and the Executive hereby agrees to serve Company, in the capacity and for the Term of Employment (as defined below) specified herein.

Employment by Company.ÌýThe Company hereby employs the Executive, and the Executive hereby agrees to be employed by the Company, in the capacity indicated on Exhibit A, and the Executive shall devote all of his or her business time, attention, knowledge and skills and use his or her best efforts during the Employment Period (defined below) to perform services and duties consistent with the ·¡³æ±ð³¦³Ü³Ù¾±±¹±ð’s title and position (the “Servicesâ€�) for the Company in accordance with directions given to the Executive from time to time by the Board of Directors of the Company (the “Boardâ€�).

Employment by Company.ÌýThe Company agrees to employ the Employee as the Chief Medical Officer, Oncology of the Company, to render such services and to perform such duties and responsibilities as are normally associated with and inherent in the aforementioned role and the capacity in which the Employee is employed, as well as such other duties and responsibilities as shall from time to time be assigned to the Employee by the Chief Executive Officer of the Company or such person’s designee.

Employment by Company.ÌýThe Company agrees to employ the Employee as the President, Head of Global Development, Oncology of the Company. In addition, the Employee shall serve as the President, Head of Global Development, Oncology of Zai Lab Limited, a limited company incorporated under the laws of the Cayman Islands and the ultimate parent corporation of the Company (the â€�Parent Companyâ€�) without further compensation. The Employee agrees to render such services and to perform such duties and responsibilities as are normally associated with and inherent in the aforementioned roles and the capacities in which the Employee is employed, as well as such other duties and responsibilities as shall from time to time be assigned to the Employee by the Chief Executive Officer of the Company or such person’s designee.

Employment by Company.ÌýThe Company agrees to employ Employee as the Executive Vice President of Early Development and Drug Safety of the Company, reporting to the Chief Executive Officer, and to render such services and to perform such duties as are normally associated with and inherent in the capacity in which Employee will be employed, as well as such other duties as shall from time to time be assigned to Employee by the Chief Executive Officer. In furtherance of the foregoing, the Employee hereby agrees to perform faithfully such duties and responsibilities and the other reasonable duties and responsibilities assigned to him from time to time by the Chief Executive Officer.

Employment by Company.Ìý2.1. VISITING SCIENTIST shall at all times remain an employee of COMPANY. COMPANY agrees to pay the salary and all benefits, including, without limitation, health, accident and disability insurance, and statutory worker's compensation and unemployment insurance of and for VISITING SCIENTIST. COMPANY and VISITING SCIENTIST shall be solely responsible for the withholding and payment of all federal, state and local taxes or contributions imposed or required by unemployment insurance, social security, xxxxxxx’x compensation insurance and income tax laws on all compensation paid to VISITING SCIENTIST hereunder. COMPANY agrees to indemnify YALE for any loss, payment or expenses incurred by YALE in respect of any claim by any taxing authority pertaining to taxes owed by COMPANY on VISITING SCIENTIST's compensation. COMPANY and VISITING SCIENTIST represent and warrant that VISITING SCIENTIST has and will maintain any legally required permissions to work in the United States, including being in compliance with all immigration and visa requirements.

Employment by Company.ÌýCompany agrees to employ Executive for the Employment Term as defined in Section 2, to render exclusive and full-time services to it in such capacity or capacities as the Company shall determine from time to time, and to perform faithfully and diligently such duties as the Company shall reasonably assign to Executive from time to time.
